Terms of Service
These terms apply to every offer, order and agreement under which Northdeck provides its service to a business customer, whether you sign up on our website or sign an order form. Please read them before you sign up. Where a signed order form or proposal says something different, the order form takes precedence over these terms.
1. Who we are
Northdeck is a trade name of Handelsonderneming PJB, registered with the Netherlands Chamber of Commerce under number 95934693, VAT number NL005180434B90, with its registered office at Viermorgen 23, 3317 DT Dordrecht, the Netherlands ("Northdeck", "we", "us"). You can reach us at info@northdeck.nl.
2. Definitions
- Customer or you: the company or organisation that enters into an agreement with us. Northdeck is a business service; we do not contract with consumers.
- Service: the Northdeck management dashboard, delivered online as software-as-a-service, including the workspace, KPI definitions, dashboards, reports, connections and imports, as described in the plan you chose at Sign-up or in the order form.
- Workspace: the environment in the Service that holds your configuration and your data. A group of companies can have one workspace with several entities where the plan includes this.
- Customer Data: all data you or your users load into the Service, by connection, import or otherwise, and everything the Service calculates from it.
- Source Systems: the software you already use, such as your accounting, CRM, planning or HR software, from which the Service reads data.
- Users: the people you authorise to use your workspace.
- Sign-up: ordering the Service online on northdeck.nl, by choosing a plan, accepting these terms and the Data Processing Agreement, and giving your payment details for the period after the Trial.
- Trial: the first 14 days after Sign-up, during which you use the Service free of charge.
- Go-live: the day your workspace becomes available to you: the day we send you the e-mail to set your password after your Sign-up, or the day stated in the order form.
- Order form: a signed proposal or order that states the plan, modules, sources, prices and start date, where you order other than by Sign-up.
3. The agreement
3.1 An agreement is formed when you complete the Sign-up, including the payment details for the period after the Trial. It is also formed when you sign an order form or accept our proposal in writing (email is enough); our proposals are valid for 30 days. The person who signs up or signs confirms that they are authorised to bind the Customer.
3.2 Your own purchasing or general terms do not apply, even if you refer to them, unless we accept them in writing.
3.3 The Data Processing Agreement forms part of every agreement.
4. The Service
4.1 We provide the Service with the modules, number of sources, number of Users and features of the plan you chose at Sign-up or in your order form. Starter includes up to 2 Users, Growth up to 5 Users and Scale an unlimited number of Users.
4.2 Read-only. The Service reads data from your Source Systems. It never writes, changes or deletes anything in them.
4.3 We connect the Service to your Source Systems. Where a connection to a system you use is not yet available and that system offers an API that its supplier makes available free of charge, we build the connection at no extra cost, usually within 48 hours. This is a best-efforts obligation; it does not apply when the supplier withdraws the API or charges for access. Features marked as "planned" are not part of the Service until we release them.
4.4 The figures in the Service are calculated from your Customer Data, the standard KPI definitions of your edition and any definitions you add. We show for every figure which rows it was calculated from, so you can check it. We are not responsible for errors in your Source Systems or in data you supply, and the Service does not replace your accountant or your own financial reporting.
4.5 We may improve and change the Service. We will not remove a feature you pay for during a period you have paid for without offering an equivalent alternative.
4.6 Figures that match. For the first closed month after Go-live, revenue and gross margin per sales channel in the Service will be within 1% of the same figures in your accounting records. Where your accounting does not record them per channel, we compare the totals. Differences caused by timing (such as marketplace payouts that settle in a later month), by errors in your Source Systems, or by data you supplied late or incompletely do not count. If the difference is larger than 1% and we have not resolved it within 30 days of your written notice, we credit the fee for your first paid month. You must report the difference within 90 days after Go-live. This credit is your only remedy under this clause and applies once per agreement.
5. Setting up your workspace
5.1 You set up your workspace yourself. You connect your Source Systems in the Service. The Service then sets up the tables, KPIs and dashboards of your edition from your data.
5.2 To connect a Source System you give the Service read access to it, for example by signing in with that system or through an API key or an account with read rights. You decide which Source Systems are connected and which data the Service may read.
5.3 The Service does not include personal setup or onboarding by Northdeck. We help by email under clause 9.2. Additional work is done only if agreed in advance in writing, at a price agreed in advance. Building a connection under clause 4.3 is not additional work.
6. Your responsibilities
6.1 You make sure that you are allowed to share the Customer Data with us and that your Users use the Service in line with these terms and the law.
6.2 You keep login details and access keys confidential and tell us straight away if you suspect misuse. You manage who in your company has access and which role they have.
6.3 You do not load data into the Service that is not needed for management information. In particular you do not load special categories of personal data (such as health data or reasons for absence) or criminal-records data, unless we have agreed this in writing.
6.4 You do not try to access other customers' data, test the security of the Service without our written permission, resell the Service or use it to build a competing product.
6.5 No copying, reverse engineering or scraping. You and your Users may not, in whole or in part: (a) copy, replicate or imitate the Service, including its software, calculations, KPI definitions, edition configurations and the structure of its dashboards and reports, except for your own Customer Data and configuration that you may export under clauses 8.3 and 8.5; (b) decompile, disassemble or otherwise attempt to derive the workings or source code of the Service (reverse engineering), except to the extent mandatory law allows this; (c) extract data from the Service by automated means, including scrapers, bots, scripts and AI agents or other AI systems, other than through the exports and integrations the Service provides for that purpose; (d) use the Service to build a competing product or service, or to train or feed an AI model with the Service, its definitions or its outputs. This also applies to the public demo. If you breach this clause, we may suspend access immediately and terminate the agreement, without prejudice to our right to damages. You remain free to use your own Customer Data, and the figures the Service calculates from it, within your business.
7. Prices and payment
7.1 Prices are per organisation, not per user, and exclude VAT. The fee depends on the plan, including its maximum number of Users, modules and sources.
7.2 After the Trial you pay per month or per year, in advance, as you chose at Sign-up. If you pay per year, two months are free: you pay ten times the monthly fee.
7.3 At Sign-up you give your payment details (for example iDEAL with a SEPA direct debit mandate, or a card). Nothing is charged during the Trial. When the Trial ends we collect the first period, and later fees, with those details. Under an order form, invoices are payable within 14 days. If a payment fails, or an invoice remains unpaid after a written reminder with a further 14 days, we may suspend access to the Service until it is paid. Statutory commercial interest applies from the due date.
7.4 We may adjust prices once a year, with at least two months' notice. If you do not accept the change, you may end the agreement with effect from the date the change takes effect.
7.5 Founding customers. The first ten customers whose first payment after the Trial we receive are founding customers; we confirm this by email. A founding customer keeps the price of the plan it started with for as long as the agreement continues without interruption; clause 7.4 does not apply to that price. If a founding customer moves to another plan, the price of that plan at that time applies from then on, and clause 7.4 applies to it. A founding customer may also choose which system that our website lists as "on request" we build next; clause 4.3 applies to that connection. The offer ends when there are ten founding customers.
8. Term and termination
8.1 The agreement starts at Sign-up, or on the start date in the order form. After the Trial: (a) if you pay per month, the agreement runs from month to month and you may end it at any time; it then ends at the end of the month you have paid for; (b) if you pay per year, the agreement runs for 12 months and then renews for 12 months at a time, unless you end it before the renewal date; it then ends at the end of the year you have paid for. A year you have paid for can only be ended early to switch provider under clause 8.5. You end the agreement in the Service (Settings → Plan) or in writing. Under an order form, the term in the order form applies; where it states none, (b) applies. We may end the agreement in writing with at least two months' notice, with effect from the end of a period you have paid for.
8.1a Trial. You may end the agreement during the Trial, in the Service (Settings → Plan) or in writing, without giving a reason. It then ends when the Trial ends and you pay nothing. After the Trial the agreement can be ended as set out in clauses 8.1, 8.2 and 8.5.
8.2 Either party may end the agreement with immediate effect if the other party seriously fails to meet its obligations and does not remedy this within 30 days of written notice, or if the other party is declared bankrupt or granted a suspension of payments.
8.3 After the agreement ends, your Customer Data remains available to you for at least 30 days, at no extra cost, as a full export in a structured, commonly used and machine-readable format (CSV or JSON). After that we delete the Customer Data from the Service within 60 days, and from backups when they rotate out, unless the law requires us to keep it.
8.4 Fees already paid are not refunded, except under clause 4.6, where we end the agreement because of our own failure, or where these terms say otherwise. If you end a yearly plan early under clause 8.5, the fees paid for the rest of that year are not refunded; this is the charge for early termination of a yearly plan.
8.5 Switching to another provider (EU Data Act). (a) You may at any time tell us, in the Service or in writing to info@northdeck.nl, that you want to switch to another provider of data processing services or to your own infrastructure, or that you want your exportable data erased. The notice period is at most two months; a monthly plan can also be ended sooner under clause 8.1(a). (b) After the notice period a transitional period of at most 30 calendar days starts, during which we continue the Service, help you with the switch and make your exportable data available. You may extend the transitional period once. If switching within 30 days is technically not feasible, we tell you within 14 working days after your notice and set a transitional period of at most seven months. (c) Exportable data means all Customer Data (the rows read from your Source Systems or imported from files), the configuration you created in your workspace (your own KPI definitions, dashboards, rules, targets, users and roles), and the comments, actions, decisions and audit log in your workspace, in a structured, commonly used and machine-readable format (CSV or JSON). It does not include our software, the standard KPI definitions or the edition configurations (clause 11.1). (d) After the transitional period your exportable data remains available for at least 30 calendar days; after that we erase it as set out in clause 8.3. (e) The agreement ends when the switch has been completed, or at the end of the transitional period if you only asked for erasure, and we confirm this to you. (f) Switching and exporting are free of charge. On request we give you information about the switching procedure, the export formats and any known limitations. Where our infrastructure is located is set out in the Data Processing Agreement.
9. Availability and support
9.1 We aim for the Service to be available 99.5% of the time per month, excluding planned maintenance, which we announce in advance and schedule outside office hours where possible. This is a target, not a guarantee, unless the order form includes a service level.
9.2 Support is available by email on working days. Scale customers get priority support.
9.3 Availability also depends on your Source Systems and their suppliers. We are not responsible for interruptions or changes on their side, but we will restore a connection as soon as reasonably possible after the supplier changes it.
10. Data, security and confidentiality
10.1 Your data is yours. You keep all rights to the Customer Data. We use it only to provide the Service to you. We do not sell it and do not use it to train AI models.
10.2 Customer Data is stored in the European Union. Each workspace is kept separate from other customers' data by access rules in the database. More detail is in the Data Processing Agreement.
10.3 Where Customer Data contains personal data, we process it as your processor under the Data Processing Agreement.
10.4 Both parties keep confidential all information about the other that is marked as confidential or is obviously confidential, during the agreement and for two years after it ends.
10.5 We may use anonymous, aggregated statistics about how the Service is used (for example which features are opened) to improve it. These statistics never contain Customer Data or identify you or your Users.
11. Intellectual property
11.1 All rights to the Service, the software, the standard KPI definitions and the documentation remain with Northdeck. You receive a non-exclusive, non-transferable right to use the Service for your own business during the agreement.
11.2 Dashboards, reports and figures you create from your Customer Data may be used freely within your company, also after the agreement ends.
11.3 If you give us suggestions or feedback, we may use them to improve the Service without obligation to you.
12. Liability
12.1 Our total liability under or in connection with the agreement is limited to the amounts you paid us in the 12 months before the event that caused the damage.
12.2 We are not liable for indirect damage, including lost profit, lost savings, business interruption, or decisions taken on the basis of figures in the Service.
12.3 These limitations do not apply to damage caused by our intent or deliberate recklessness.
12.4 A claim lapses if it is not reported to us in writing within 12 months after you became aware of the damage.
12.5 Neither party is liable for failure to perform caused by circumstances beyond its control, such as a failure of a hosting provider, telecom network or Source System supplier, provided it informs the other party and does what it reasonably can to limit the effects.
13. Changes to these terms
We may change these terms. We inform you of changes at least one month before they take effect. If a change is to your disadvantage and you do not accept it, you may end the agreement on the date the change takes effect.
14. Applicable law and disputes
14.1 Dutch law applies to these terms and every agreement with Northdeck.
14.2 Disputes are submitted to the competent court in the district where Northdeck has its registered office, unless the law requires otherwise. We will first try to resolve any dispute together.
14.3 These terms are available in English and Dutch. If the versions differ, the English version prevails.
15. Transfer to a private limited company
Northdeck intends to move its business from Handelsonderneming PJB to a private limited company (B.V.) controlled by the same owner. You agree now that we may transfer the agreement, including the Data Processing Agreement, to that company. We inform you in writing at least 30 days before the transfer. Your plan, prices and these terms stay the same.
